Official Rules for Contests offered by Audi on Twitter / Facebook / Instagram (the "Rules")

The Rules apply to all contests sponsored by Audi on Twitter, Facebook and / or Instagram.

1. HOW TO ENTER:

NO PURCHASE NECESSARY. To enter the contest, you must have a Facebook, Twitter and/or Instagram account, as applicable. If you do not have an account, visit Facebook, Twitter and/or Instagram and register for a free account. You are subject to Facebook, Twitter and/or Instagram’s terms, conditions and rules in your registration and use of your account. Audi is not responsible in any way for any decision that Facebook, Twitter and/or Instagram may make regarding your account.

The starting date and time and closing date and time for a contest (the “Contest Period”) and the details regarding how to enter will be posted on of Audi's Twitter, Facebook and/or Instagram accounts (the “Contest Post”). To enter the contest, follow the instructions provided in the Contest Post, e.g. respond to Audi's Contest Post on Twitter by sending a Twitter @Reply "tweet" to the applicable Audi Twitter post. If the contest designates a hashtag, the designated hashtag must be included in the response. Each complete and eligible response automatically qualifies as an entry to the contest.

In the event that a contest requires followers to post a photograph and/or image of any sort, each entrant's photo entry must:
  • be their original creation, and be a photograph taken solely by entrant over which entrant has all necessary rights, title and interest, including copyright. not violate the rights of any third party, including, but not limited to copyright, publicity or privacy rights;
  • not include any other people or include any third party owned material unless they have given their written consent to their use as required by these Rules;
  • be in "good taste" and in keeping Audi's brand image and must not be explicit or offensive, as determined by Audi, in its sole and absolute discretion;
  • not contain any commercial content that promotes any product or service;
  • not violate any law or regulation; and
  • not be libelous, threatening or harassing.
By entering the contest and submitting a photo entry, entrants thereby: (i) grant to Audi a worldwide, royalty-free, sub-licensable, irrevocable, right to use, publish, reproduce, display, exhibit and transmit the photo entry in all media now known or hereafter devised in perpetuity beginning as of the date of entry, for any reason, including, but not limited to, in connection with the administration, promotion and exploitation of the contest, without notice or compensation; and (ii) agree to waive in favour of Audi and its licensees all moral rights in the photo entry.

2. CONTEST LIMITS:

Unless otherwise indicated in the Contest Post, only one entry per person, and you may only use one Facebook, Twitter or Instagram account (as applicable) to participate. Anyone found to use multiple Facebook, Twitter or Instagram accounts to enter and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt the contest may be disqualified from the contest in the sole and absolute discretion of Audi.

3. ELIGIBILITY:

Unless otherwise indicated in the contest tweet, to enter, you must be a legal resident of Canada, excluding Quebec, aged 18 or older. Directors, officers, employees and representatives of Audi, any of its affiliates, any Audi dealers, suppliers of prizes, material or services related to the contest and members of their immediate families, and those with whom they reside, are not eligible to participate. "Immediate family" means mother, father, sister, brother, son, daughter, married or common law spouses, regardless of where they reside.

4. DISPUTE:

In the event of a dispute regarding who submitted an entry, Audi reserves the right, in its sole and absolute discretion, to deem the entry to have been submitted by the authorized account holder of the social media account used at the time of entry. “Authorized account holder” is defined as the person who is assigned a social media account by Facebook, Instagram or Twitter.

5. WINNER SELECTION:

Unless otherwise indicated in the Contest Post, winner(s) will be selected in a random draw held following the contest closing date from all eligible entries received. Odds of winning depend on the number of eligible entries received.

6. PRIZES:

The number of prizes to be awarded is 1 unless otherwise indicated in the Contest Post. The prize description and approximate retail value will be included in the Contest Post.

Prizes will be shipped via standard post at no cost to confirmed winner(s) at the mailing address provided by winner(s) within sixty (60) days of being confirmed as a winner, or other suitable arrangements will be made with the winner. Prize(s) must be accepted as awarded, is not transferable and cannot be exchanged for cash. Audi reserves the right to substitute a prize that is, in their sole discretion, a prize of equivalent or greater value.

7. WINNER CONFIRMATION:

Selected entrant(s) will be announced via the applicable Audi Twitter, Facebook or Instagram post. Selected entrant(s) will be required to contact Audi via direct message or email to confirm eligibility and provide contact information (full name, email address, and mailing address). Each winner has until midnight EST of the same day on which the selected entrant(s) is announced (or other date / time indicated by Audi in the winner announcement) to provide Audi with the required contact information and to satisfy all contest requirements, which may include correctly answering, unassisted a mathematical skill-testing question. Selected entrant(s) may be required to execute and return by mail and/or email a Liability / Publicity Release form (the “Release”) within 7 days of notification (or other date / time indicated by Audi) or the prize may be forfeited and awarded to an alternate entrant.

If a selected entrant: (a) fails to supply the required contact information within the prescribed time; (b) fails to correctly answer the skill-testing question if required; (c) fails to return the properly executed Release within the specified time; (d) cannot accept (or is unwilling to accept) the applicable prize (as awarded) for any reason; or (e) is determined to be in violation of these Rules (all as determined by Audi in its sole and absolute discretion); then he/she will be disqualified (and will forfeit all rights to the applicable prize) and Audi reserves the right, in its sole and absolute discretion, to cancel the prize or to randomly select an alternate eligible entrant from among the remaining eligible entries submitted and received to date during the Contest Period in accordance with these Rules (in which case the foregoing provisions of this section shall apply to such newly selected entrant).

8. ACCEPTANCE OF PRIZE:

By accepting a prize, winner(s) consents to the use of his or her name, Facebook, Twitter or Instagram username or handle, photo entry, profile picture, comments and/or likeness by Audi and its affiliates in all media for purposes of advertising or promotion without notice or compensation.

9. CONDUCT:

All entrants agree to be bound by these Rules and the terms, conditions and rules of Facebook, Twitter and/or Instagram as applicable, and decisions of Audi. Audi in its sole discretion, reserves the right to disqualify any person it finds to be in violation of these Rules or the terms, conditions and rules of Facebook, Twitter and/or Instagram. Audi is not liable if any entrant's account is suspended by Facebook, Twitter or Instagram for any reason. Such entrant may also be disqualified from any Audi-sponsored contest.

10. RELEASE.

The contest is in no way sponsored, endorsed or administered by, or associated with Facebook, Twitter or Instagram. Facebook, Twitter and/or Instagram is/are completely released of all liability by each entrant in this contest. Any questions, comments or complaints regarding the contest must be directed to Audi and not Facebook, Twitter or Instagram.

11. RELEASE OF AUDI.

By entering a contest, entrants agree to release, indemnify and hold harmless Audi, its affiliated companies, Audi dealers, their advertising and promotional agencies, and each of their respective officers, directors, agents, employees, representatives, successors and assigns from and against any injuries, losses damages, claims, actions, or any liability of any kind resulting from your participation in the contest.

12. LIMITATIONS OF LIABILITY:

Audi is not responsible for late, lost, incomplete, irregular, or misdirected "tweets" or posts, email or for any computer, online, telephone or technical malfunctions or human errors that may occur. If for any reason, the contest is not capable of running as planned, or more prizes are awarded than planned, including due to a computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort, Audi may cancel, terminate, modify or suspend the applicable contest. Entrants further agree to release Audi from any liability resulting from, or related to participation in the contests or the awarding or use of any prize. Audi reserves the right to terminate or withdraw this contest at any time.

13. CHANGES:

Audi reserves the right, to withdraw, amend or suspend a contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of Audi that interferes with the proper conduct of the contest as contemplated by these Rules.

14. PRIVACY:

Entry information collected by Audi will not be used for any purpose other than administering the contest.

15. GENERAL:

Decisions of Audi shall be final and binding in all matters relating to contests and the awarding of a prize. These Rules shall prevail, govern and control over contests offered by Audi on Facebook, Twitter or Instagram. This Contest is subject to all applicable laws and regulations and void where prohibited. All issues and questions concerning the construction, validity, interpretation and enforceability of the Official Rules or the rights and obligations as between the entrant and Audi Canada in connection with the Contest will be governed by and construed in accordance with the laws of the province of Ontario including procedural provisions without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. If a section of these Official Rules is declared illegal, unenforceable or invalid by a competent court, that section shall be considered invalid, but all unaffected sections will be applied within the limits of the law.
